The sale of marijuana for recreational use became legal in Colorado and Washington Jan. 1. For a market that has traditionally

dealt in cash payments, the new laws have left open the question of whether dispensaries will be able to accept credit and debit cards the same as any other business.

Some already are, though they're reluctant to admit how they're able to do so. A Cut Off The Top, a dispensary in Denver, has an advertisement in a recent issue of a local paper called Westword that says it now accepts Visa and MasterCard. A request for comment via e-mail wasn't returned, and a man who answered the phone at the store wouldn't directly answer whether the business accepts debit and credit cards, saying it primarily deals in cash payments.

Other health providers – Aetna (AET), Wellpoint (WLP), Cigna (CI) and Humana (HUM) -- all gained between 1½ and 2 percent. And retail stocks remained active. Target (TGT) added another 3 percent. Best Buy rose 4 percent, and Fred's (FRED), a regional department store chain, jumped 10 percent. But Pier 1 (PIR) fell 5½ percent after lowering its earnings outlook for a second time.     Given my druthers, were I asked to recommend a truck rental shop today, I think I'd have to go with U-Haul owner AMERCO (NASDAQ: UHAL  ) instead. It's got the free cash flow that Ryder lacks, plus a cheaper P/E, a slightly faster growth rate, and a smaller debt load. Honestly, I don't "love" AMERCO either -- but it's a heck of a better value than Ryder.

    Another stock that's starting to move within range of triggering a breakout trade is Merge Healthcare (MRGE), which develops software solutions that facilitate the sharing of images to create a more effective and efficient electronic health care experience for patients and physicians. This stock hasn't done much in 2013, with shares up just over 8% so far.

    If you take a look at the chart for Merge Healthcare, you'll notice that this stock has been trending sideways since it gapped down in August, with shares moving between $2.35 on the downside and $2.98 on the upside. Shares of MRGE are now starting to trend back above its 50-day moving average of $2.65 a share. That move is quickly pushing the stock within range of triggering a big breakout trade above the upper end of its sideways trading chart pattern.

    Market players should now look for long-biased trades in MRGE if it manages to break out above some near-term overhead resistance levels at $2.82 to $2.98 a share, and then once it takes out its 200-day moving average at $3.08 and its gap down day high of $3.20 a share with high volume. Look for a sustained move or close above those levels with volume that hits near or above its three-month average action o 793,997 shares. If we get that move soon, then MRGE will set up to re-fill some of its previous gap down zone from August that started at $4.60 a share.

    Traders can look to buy MRGE off any weakness to anticipate that breakout and simply use a stop that sits right below some key near-term support levels at $2.55 to $2.54 a share, or below that recent low of $2.35 a share. One can also buy MRGE off strength once it clears those breakout levels with volume and then simply use a stop that sits a comfortable percentage from your entry point.

Top 10 Value Stocks To Invest In 2014

LONDON -- To me, capital growth and dividend income are equally important. Together, they provide the total return from any share investment and, as you might expect, my aim is to invest in companies that can beat the total return delivered by the wider market.

To put that aim into perspective, the FTSE 100 has provided investors with a total return of around 3% per annum since January 2008.

Quality and value
If my investments are to outperform, I need to back companies that score well on several quality indicators, and buy at prices that offer decent value.

So this series aims to identify appealing FTSE 100 investment opportunities and, during recent weeks, I've looked at�Tesco� (LSE: TSCO  ) ,�British American Tobacco� (LSE: BATS  ) ,SABMiller� (LSE: SAB  ) ,�Reckitt Benckiser� (LSE: RB  ) and�J Sainsbury� (LSE: SBRY  ) .     Department of Defense contract officers on Tuesday announced a total of 13 contract awards worth more than $1 billion in aggregate. Notable winners among publicly traded companies included several Army contract awards, including:

    Britain's BAE Systems' (NASDAQOTH: BAESY  ) Land and Armaments division won a $28.7 million modification to a previously awarded contract to supply M88A2 heavy equipment recovery combat utility lift and evacuation system vehicles to the U.S. Army. Work on the contract should be complete by March 31, 2014. Raytheon's (NYSE: RTN  ) Thales Raytheon Systems joint venture was awarded a $23.1 million modification to a previously awarded contract to supply Sentinel Mode 5 Identification Friend or Foe kits, and spares, to the Army. Caterpillar (NYSE: CAT  ) , while not ordinarily considered a defense contactor, seems particularly well-suited for the contract it won -- a $10.8 million award to support Army Deployable Universal Combat Earthmover vehicles. Called "DEUCE" for short, these are essentially Army tractors, and so far the Army has ordered $67.1 million of them from Caterpillar under this contract.

    In addition to the new awards, the Pentagon also issued contract modifications to both BAE and to General Dynamics (NYSE: GD  ) on a pair of contracts to the effect that both firms are being given an additional six months to develop new prototype ground combat vehicles that the Army is considering as replacements�for its existing armored personnel carrier fleet. The value of GD's development contract on this project is said to have a maximum value of $180.4 million, while BAE's development contract maxes out at $159.5 million.

    On July 28, Dollar Tree (DLTR) announced that it will be buying rival Family Dollar for a total of $9.2 billion (including debt). Icahn had originally suggested that Family Dollar be bought out by leader Dollar General, but shortly after stated that the recent announcement of the retirement of Dollar General�� CEO would cause disruptions in his plan of merging the two companies. The announced deal gives Dollar Tree over 13,000 stores in the 48 states and Canada, as well as more than $18 billion in sales.     Where growth will come from
    One area that Newell Rubbermaid still has to tap fully is emerging markets. The company has done a good job of expanding overseas, with 17% annual growth in Latin America. But with barely a quarter of its sales coming from outside the U.S. and Canada, the company has a lot further to go. Storage rival Tupperware (NYSE: TUP  ) gets fully 60% of its total revenue from emerging markets, and it too has seen impressive gains in South America as well as the Asia-Pacific region.

    Tupperware Brands (NYSE: TUP  ) is reaching into its corporate bowl for a fresh payout to shareholders. The company has declared a quarterly dividend of $0.62 per share. This will be paid on July 8 to stockholders of record as of June 19. That amount matches the firm's previous distribution, which was paid in early April. Prior to that, Tupperware Brands was rather less generous, handing out $0.36 per share.

    My grandfather owned a La-Z-Boy (LZB), and yours probably did too. But there’s nothing old-fashioned about its stock’s performance today following its earnings release. Going up never goes out of style.

    MarketWatch has the details on La-Z-Boy’s results:

    For the quarter ended Oct. 26, La-Z-Boy posted a profit of $16.7 million, or 31 cents a share, up from $6.6 million, or 12 cents a share, a year earlier. The latest results included a reduction of some valuation reserves worth a penny a share, while prior-year results had three cents in restructuring charges.

    Sales climbed 14% to $366.4 million.

    Analysts surveyed by Thomson Reuters expected a per-share profit of 26 cents on $349 million in revenue.

    Raymond James analysts Budd Bugatch and Justin Santa Cruz really like what they see. Really, really, really.

    We reaffirm our Strong Buy rating on LZB and increase our 12-month price target to $29.00 following the company�� strong operating results. Sales beat our estimates in each of the three segments, and operating income was better in two of three. Despite an uncertain consumer environment and difficult industry backdrop (traffic was ��lat��for the period); La-Z Boy delivered robust sales growth and improved profitability. Same-store written sales for the 314 La-Z-Boy Furniture Galleries (97 company-owned) increased 9.8% y/y, above our 8.0% estimate, and on top of 13.3% growth in the prior year. La-Z-Boy seems likely to continue to benefit from an improving economy and consumer confidence as well as the housing recovery.

    Shares of La-Z-Boy have gained 11% to $27.02 at 1:54 p.m. today. Its performance is also giving other furniture stocks a boost. Flexsteel (FLXS) has risen 1% to $27.60, Hooker Furniture (HOFT) has jumped 1.6% to $17.12 and Ethan Allen International (ETH) has advanced 1.2% to $29.20. Haverty Furniture (HVT) has dipped 0.3% to $27.87.

    The short, sucky answer? A lot:

    Plans for a ��igafactory��meant to produce millions of electric-car batteries ginned up excitement, but also raised eyebrows. The Wall Street Journal reported on skepticism in the space — including from heads at Volkswagen (VLKAY) and battery maker Highpower International (HPJ). Now, even planned investment partner Panasonic (PC) now sounds iffy on the project, with company Kazuhiro Tsuga saying “the investment risk is definitely larger.” Not good. There also was Tesla�� direct sales snafu. New Jersey Gov. Chris Christie huffed and puffed and (on March 11) successfully blew down Tesla�� direct sales model, with the Motor Vehicle Commission approving a measure to enforce an already-existing ban on direct sales. On the flip side, Tesla has scored victories in New York and Ohio in the past month, and is making progress in Arizona (which has a little incentive on the board). Production of the Model X has been pushed further back, to 2015. Musk’s reasons — mostly having to do with focusing on bolstering Model S sales — are valid, but that doesn�� really soften the blow of a longer wait for the much-anticipated addition to Tesla�� line. To address the issue of battery fires in the Model S, TSLA added titanium shields and aluminum deflector plates to new vehicles and offered to install them for free in all its existing cars. Tesla�� margins are excellent, and there�� no hard number on the cost impact of the fix, but titanium ain�� cheap. This definitely isn�� going to add to Tesla�� bottom line. What Now?

    I won�� belabor you with my bullish position on TSLA stock, but if you want, you can see it here. In short, Musk is a genius; Tesla products are quality and appeal to (and are priced for) the all-important luxury segment; and just given size and scale, TSLA has oh-so-much room to grow.

Murphy Oil Corporation, incorporated on June 29, 1964, is a worldwide oil and gas exploration and production company with retail and wholesale gasoline marketing operations in the United States and refining and marketing operations in the United Kingdom. In August 2013, the Company announced that it has completed the spin-off of its United States retail marketing business into an independent public company called Murphy USA Inc.

Murphy's exploration and production activities are subdivided into five geographic segments, including the United States, Canada, Malaysia, the Republic of the Congo and all other countries. Murphy's refining and marketing activities are subdivided into segments for the United States and the United Kingdom.

Exploration and Production

During the year ended December 31, 2012, Murphy's principal exploration and production activities were conducted in the United States by wholly owned Murphy Exploration & Production Company - USA (Murphy Expro USA), in Malaysia, Republic of the Congo, Indonesia, Suriname, Australia, Brunei, the Kurdistan region of Iraq, Cameroon, Vietnam and Equatorial Guinea by wholly owned Murphy Exploration & Production Company - International (Murphy Expro International) and its subsidiaries, in Western Canada and offshore Eastern Canada by wholly owned Murphy Oil Company Ltd. (MOCL) and its subsidiaries, and in the U.K. North Sea and the Atlantic Margin by wholly owned Murphy Petroleum Limited.

Murphy's crude oil and natural gas liquids production in 2012 was in the United States, Canada, Malaysia, the Republic of the Congo and the United Kingdom; its natural gas was produced and sold in the United States, Canada, Malaysia and the United Kingdom. MOCL owns a 5% undivided interest in Syncrude Canada Ltd. in northern Alberta, one of the producers of synthetic crude oil. Murphy's worldwide crude oil, condensate and natural gas liquids production in 2012, averaged 112,591 barrels per day. The Company's worldwi! de sales volume of natural gas averaged 490 million cubic feet per day in 2012.

In the United States, Murphy primarily has production of oil and/or natural gas from fields in the deepwater Gulf of Mexico, in the Eagle Ford Shale area of South Texas and onshore in South Louisiana. The Company produced approximately 26,100 barrels of oil per day and 53 million cubic feet of natural gas per day in the U.S. in 2012. During 2012, approximately 54% of total U.S. hydrocarbon production was produced at fields in the Gulf of Mexico. The Company holds a 60% interest at Medusa in Mississippi Canyon Blocks 538/582, which produced total daily oil and natural gas of about 4,300 barrels and for million cubic feet, respectively, in 2012. At December 31, 2012, the Medusa field had total proved oil and natural gas reserves of approximately 9.2 million barrels and 9.4 billion cubic feet, respectively. Murphy has a 62.5% working interest in the Front Runner field in Green Canyon Blocks 338/339. Oil and natural gas production at Front Runner averaged about 3,900 barrels of oil per day and four million cubic feet per day in 2012. The Company also acquired additional working interests in the Thunder Hawk field in Mississippi Canyon Block 734 in 2012 and holds 62.5% of this field. In 2012 oil production from this field averaged 2,800 barrels per day and 1.7 million cubic feet per day and 3.2 million cubic feet per day due to a new well completed in 2012.

The Company is primarily concentrating drilling efforts in the areas of the Eagle Ford where oil is the primary hydrocarbon produced. Totals for 2012 oil and natural gas production in the Eagle Ford area were approximately 13,300 barrels per day and 13 MMCF per day, respectively. On a barrel of oil equivalent basis, Eagle Ford production accounted for 44% of total U.S. production volumes in 2012. At December 31, 2012, the Company's proved reserves in the Eagle Ford Shale area totaled 113.6 million barrels of oil and 108.7 billion cubic feet of natural! gas. Tot! al proved U.S. oil and natural gas reserves at December 31, 2012 were 142.6 million barrels and 209.7 billion cubic feet, respectively. The Company is developing the Dalmatian field located in DeSoto Canyon Blocks 4 and 48 in the Gulf of Mexico.

In Canada, the Company owns an interest in three non-operated assets - the Hibernia and Terra Nova fields offshore Newfoundland in the Jeanne d'Arc Basin and Syncrude Canada Ltd. in northern Alberta. In addition, the Company owns interests in one heavy oil area, two natural gas areas and light oil prospective acreage in the Western Canadian Sedimentary Basin (WCSB). Murphy has a 6.5% working interest in Hibernia, while at Terra Nova the Company's working interest is 10.475%. Oil production in 2012 was about 5,300 barrels of oil per day at Hibernia and 1,700 barrels per day at Terra Nova. Total proved oil reserves at December 31, 2012 at Hibernia and Terra Nova were approximately 10.6 million barrels and 5.9 million barrels, respectively.

Murphy owns a 5% undivided interest in Syncrude Canada Ltd., a joint venture located about 25 miles north of Fort McMurray, Alberta. Syncrude utilizes its assets, which include three coking units, to extract bitumen from oil sand deposits and to upgrade this bitumen into a synthetic crude oil. Production in 2012 was about 13,800 barrels of synthetic crude oil per day. Total proved reserves for Syncrude at year-end 2012 were 119.1 million barrels. Daily production in 2012 in the WCSB averaged about 7,500 barrels of mostly heavy oil and about 217 million cubic feet of natural gas. Through 2012, the Company has acquired approximately 144 thousand net acres of mineral rights in the Montney area, including Tupper and Tupper West.

In Malaysia, the Company has majority interests in six separate production sharing contracts (PSCs). The Company serves as the operator of all these areas other than the Kakap field. The production sharing contracts cover approximately 2.79 million gross acres. Murphy h! as an 85%! interest in discoveries made in two shallow-water blocks, SK 309 and SK 311, offshore Sarawak. About 7,400 barrels of oil per day were produced in 2012 at Blocks SK 309/311, with almost 75% of this at the West Patricia field and the remainder mostly associated with gas liquids produced at other Sarawak fields. Total net natural gas sales volume offshore Sarawak was about 174 million cubic feet per day during 2012 . Total proved reserves of oil and natural gas at December 31, 2012 for Blocks SK 309/311 were 10.3 million barrels and 284.7 billion cubic feet, respectively.

The Company made a discovery at the Kikeh field in deepwater Block K, offshore Sabah, Malaysia. Total gross acreage held by the Company in Block K as of December 31, 2012 was 80,000 acres. Production volumes at Kikeh averaged 44,900 barrels of oil per day during 2012. Total proved reserves booked in Block K as of year-end 2012 were 85.4 million barrels of oil and 72.9 billion cubic feet of natural gas.Total proved reserves booked in Block K in 2012, were 85.4 million barrels of oil and 72.9 billion cubic feet of natural gas. Total gross acreage held by the Company at year-end 2012 in Block H was 1.40 million acres. Murphy has a 75% interest in gas holding agreements for Kenarong and Pertang discoveries made in Block PM 311, located offshore peninsular Malaysia.

The Company had interests in Production Sharing Agreements (PSA) covering two offshore blocks in Republic of the Congo - Mer Profonde Sud (MPS) and Mer Profonde Nord (MPN) during 2012. These interests covered approximately 1.33 million gross acres with water depths ranging from 490 to 6,900 feet, and the Company operated both blocks. Total oil production in 2012 averaged 2,100 barrels per day at Azurite for the Company's 50% interest. Anticipated production in 2013 is 1,500 barrels per day.

The Company holds six exploration permits in Australia and serves as operator of four of them. Block NT/P80 in the Bonaparte Basin, offshore northwester! n Austral! ia, was acquired in June 2009 and covers approximately 1.20 million gross acres. In May 2012, Murphy was awarded permit WA-476-P in the Carnarvon Basin, offshore Western Australia. The Company holds 100% working interest in the permit which covers 177,000 gross acres. In August 2012, Murphy was awarded permit WA-481-P in the Perth Basin, offshore Western Australia. The permit covers approximately 4.30 million gross acres, with water depths ranging from 20 to 300 meters. The Company holds a 40% working interest. The work commitment calls for tw0- dimensional (2D) and three-dimensional (3D) seismic acquisition and processing, geophysical work and three exploration wells. In November 2012, Murphy acquired a 20% non-operated working interest in permit WA-408-P in the Browse Basin. This block is adjacent to AC/P36 and is in the midst of a two-well exploration campaign. The permit comprises approximately 417,000 gross acres.

The Company has interests in four exploration licenses in Indonesia and serves as operator of all these concessions. . Following contractually mandated acreage relinquishment in 2012, the block covers approximately 745 thousand gross acres. The Company has a 28.3% interest in the block which covers about 543 thousand gross acres after a required partial relinquishment of acreage during 2012. The permit calls for a 3D seismic program and three exploration wells. Murphy has a 100% interest in the block which covers 1.22 million gross acres. In November 2012, the Company signed a production sharing contract with Vietnam National Oil and Gas Group and PetroVietnam Exploration Production Company, whereby it acquired 65% interest and operatorship of Blocks 144 and 145. The blocks cover approximately 4.42 million gross acres and are located in the outer Phu Khanh Basin. In late 2012, the Company was granted Vietnam's government approval to acquire a 60% working interest and operatorship of Block 11-2/11.

The Company operates and holds a 50% interest in the block. The Ce! ntral Doh! uk block covers approximately 153 thousand gross acres and is located in the Dohuk area of the Kurdistan region in Iraq. The Company shot seismic in 2011 and drilled an unsuccessful exploration well in 2012.The Company acquired a 100% working interest and operatorship of Block 48 offshore Suriname. The block encompasses 794 thousand gross acres with water depths ranging from 1,000 to 3,000 meters. Murphy relinquished Block 37 in July 2012.

Murphy was granted government approval to acquire a 50% working interest and operatorship of the NTEM concession. The working interest was acquired from Sterling Cameroon Limited (Sterling) via a farm-out agreement of the existing production sharing contract. Sterling retained a 50% non-operated interest in the block. The NTEM block, situated in the Douala Basin offshore Cameroon, encompasses 573 thousand gross acres, with water depths ranging from 300 to 1,900 meters. In October 2012, Murphy signed an agreement with Perenco Cameroon to acquire a 50% interest in the Elombo production sharing contract, immediately adjacent to the NTEM concession. The Company received government approval to acquire the acreage in December 2012. Perenco retained a 50% operating interest in the block. The Elombo block, situated in the Douala Basin offshore Cameroon, between the shoreline and the NTEM block, encompasses 594 thousand gross acres with water depths ranging up to 1,100 meters.

In December 2012, Murphy signed a production sharing contract for block W offshore Equatorial Guinea. Murphy has a 45% working interest and has been designated the operator. The government is expected to ratify the contract early in 2013. The block is located offshore mainland Equatorial Guinea and encompasses 557 thousand gross acres with water depths ranging from 60 to 2,000 meters. The initial exploration period of five years is divided into two sub-periods, a sub-period of three years and a second sub-period of two years. The sub-period may be extended one year and with this! extensio! n is the obligation to drill one well. Murphy has produced oil and natural gas in the United Kingdom sector of the North Sea for many years. In 2012, Murphy entered into several contracts to sell all of its oil and gas properties in the United Kingdom.

Murphy's total proved undeveloped reserves at December 31, 2012 increased 42.0 million barrels of oil equivalent (MMBOE) from a year earlier. Approximately 44.0 MMBOE of proved undeveloped reserves were converted to proved developed reserves during 2012. During 2012, there were 26.6 million barrels of oil per day of positive revisions for proved undeveloped reserves. At December 31, 2012, proved reserves are included for several development projects that are ongoing, including natural gas developments at the Tupper West area in British Columbia and offshore Sarawak Malaysia, and an oil development at Kakap, offshore Sabah Malaysia. Total proved undeveloped reserves associated with various development projects at December 31, 2012 were approximately 219 million barrels of oil per day, which is 36% of the Company's total proved reserves.

Murphy Oil USA, Inc. (MOUSA), a wholly owned subsidiary of Murphy Oil Corporation and markets its refined products through a network of Company stations, unbranded wholesale customers and bulk products customers in a 30-state area, primarily in the Southern and Midwestern United States. Murphy's Company stations are located in 23 states and are primarily located in the parking lots of Walmart Supercenters using the brand name Murphy USA. The Company stations also include stand-alone locations using the Murphy Express brand. During 2012, Company stations sold over 3.8 billion gallons of motor fuel. At December 31, 2012, the Company marketed fuel and convenience merchandise through 1,165 Company stations. Of these Company stations, 1,015 are located on parking lots of Walmart Supercenters or other Walmart stores and 150 are stand-alone Murphy Express locations.

The Company owns land und! erlying 9! 08 of the Company stations on Walmart parking lots. No rent is payable to Walmart for the owned locations. For the remaining 104 Company stations located on Walmart property that are not owned, Murphy has master agreements that allow the Company to rent land from Walmart. The master agreements contain general terms applicable to all rental sites on Walmart property in the United States. In addition to the motor fuel sold at the Company's Company stations, its stores carry a broad selection of snacks, beverages, tobacco products, and other non-food merchandise. The Company's merchandise offerings include two private label products, an isotonic drink offered in several flavors and a private label energy drink. In 2012, the Company purchased more than 88% of its merchandise from a single vendor, McLane's Company, Inc., a wholly owned subsidiary of Berkshire Hathaway, Inc.

Murphy owns an interest in a crude oil pipeline that connects storage at the Louisiana Offshore Oil Port (LOOP) at Clovelly, Louisiana, to the formerly owned Meraux refinery. Murphy owns a 40.1% interest in its 22 miles of this pipeline from Clovelly to Alliance, Louisiana, and 100% of the remaining 24 miles from Alliance to Meraux. Murco Petroleum Limited (Murco), a wholly owned U.K. subsidiary, owns 100% interest in a refinery at Milford Haven, Pembrokeshire, Wales. The refinery is located on a 938 acre site owned by the Company; 430 acres are used by the refinery and the remainder is rented for agricultural use. The refinery consistently performed near nameplate capacity during 2012. Murphy has announced its intention to sell the Milford Haven refinery and United Kingdom marketing assets.

As of December 31, 2011, these wholesale operations conducted business from more than 290 facilities. its aftermarket product operations may include a combination of sales, warehousing and distribution, and in many cases will be co-located with its refurbishing operations. Its salvage operation typically has processing, sales, distribution and administrative operations on site, indoor and outdoor storage areas, and include a warehouse with multiple bays to dismantle vehicles.

The Company�� 2011, sales included more than 86,000 stock keeping units (SKUs) of aftermarket collision products and repair materials for the models of domestic and foreign automobiles and light trucks. Its aftermarket product types consist of thos! e frequen! tly damaged in collisions, including automotive body panels, bumper covers and lights. The Company distributes paint and other materials used in repairing damaged vehicles, including sandpaper, abrasives, masking products and plastic filler. The paint and other materials distributed by the Company are purchased from numerous suppliers in the United States and Canada. Certain of these products are distributed under the brand Keystone. Platinum Plus is its exclusive brand offered in the Keystone product line of aftermarket products. Vehicle processing for its wholesale recycled operations involves dismantling a salvage vehicle into recycled products that are ready for sale.

As of December 31, 2011, it operated 34 plastic bumper and bumper cover refurbishing plants, a chrome bumper plating plant, 15 wheel plants, one light refurbishing plant and four engine remanufacturing facilities. Most of its refurbished and remanufactured products are sold through its wholesale distribution channels. The balance is sold to retail automotive stores, wholesale distributors and through Internet sales. Its wholesale recycled product operations generate scrap metal and other materials that it sells to recyclers. T! he Compan! y has a distribution network of over 290 wholesale plants and warehouses across the United States and Canada, of which 50 function as hub or cross dock facilities.

WHOLESALE AUTO PRODUCTS-EUROPE

The Company�� European wholesale operating segment was formed in 2011 with its acquisition of ECP, the distributor of automotive aftermarket products. The Company operates 90 branches, supported by eight regional hubs and a national distribution center, which allows us to reach major markets within the United Kingdom. In 2011, it sold more than 121,000 SKUs of aftermarket products, primarily composed of mechanical aftermarket parts for the repair of vehicles five to 15 years old. Its products include electrical products, such as spark plugs and ignition coils, clutches and related parts, steering and suspension parts, and brake pads and sensors. The Company sells its products to over 32,000 professional repairers, including primarily independent mechanical repair shops and collision repair shops.

SELF SERVICE RETAIL PRODUCTS

The Company�� self service retail operations sell parts from older cars and light trucks directly to consumers. In addition to revenue from the sale of parts, core and scrap, it charges admission fee to access the property. Its self service facilities typically consist of a fenced or enclosed area of several acres with vehicles stored outdoors and a retail building through which customers are able to access the yard. As of December 31, 2011, it conducted our self service retail operations from 47 facilities in North America. Its self service auto recycling operations generate scrap metal, alloys and other materials that it sells to recyclers.

HEAVY-DUTY TRUCK PRODUCTS

As of December 31, 2011, it had a total of 18 facilities in the United States and Canada. Its inventory is comprised of used heavy- and medium-duty trucks, usually five years or older, which are purchased at salvage and truck auctions or direct! ly from i! nsurance companies or fleet operators. During 2011, it purchased approximately 6,000 vehicles. Depending on the condition of the vehicles, they may be dismantled for parts or resold as running vehicles. If certain mechanical parts are damaged, such as transmissions, it may remanufacture them and offer them to its customers. The vehicles that are acquired for resale are typically special purpose or vocational use trucks, such as those used for garbage pickup or cement delivery. If requested by the sellers of the vehicles, it provide an assurance that the vehicles will be sold to foreign buyers and exported to countries for use outside of the United States, or to domestic buyers after the vehicles have been reconditioned and modified for use other than their original purpose.

The Company provides skilled nursing, ventilator and tracheotomy services, extended care specialties, medication administration and management, and patient and family assistance an! d educati! on. It also provides management services to third-party home nursing agencies, often as an interim solution until proper state and regulatory approvals for an acquisition can be obtained. The Company�� physical, occupational and speech therapists provide therapy services to patients in their home. Its therapists coordinate multi-disciplinary treatment plans with physicians, nurses and social workers to restore basic mobility skills, such as getting out of bed and walking safely with crutches or a walker. These services consist principally of a communicator that connects to the telephone line in the subscriber�� home and a personal help button that is worn or carried by the individual subscriber which, when activated, initiates a telephone call from the subscriber�� communicator to Lifeline�� central monitoring facilities. Lifeline�� trained personnel identify the nature and extent of the subscriber�� particular need and notify the subscriber�� family members, neighbors and/or emergency personnel, as needed.

The Company�� Medicare-certified hospice operations provide a range of hospice services designed to meet the individual physical, spiritual and psychosocial needs of terminally ill patients and their families. Its hospice services are primaril! y provide! d in a patient�� home but can also be provided in a nursing home, assisted living facility or hospital. Key services provided include pain and symptom management accompanied by palliative medication, emotional and spiritual support, spiritual counseling and family bereavement counseling, inpatient and respite care, homemaker services, dietary counseling and social worker visits for up to 13 months after a patient�� death.
