Deutsche Bank’s David Bianco and team, for instance, lowered their earnings growth forecast in a report on Friday. They explain why:

We still think 4Q results will be the strongest S&P EPS and sales growth since 1Q12, but is unlikely to be double-digit as we were previously forecasting. We cut our 4Q13E EPS to $28.50, up 8% y/y from $29.00, up 10% y/y previously. 4Q results are healthy, but are softer than what macro data, particularly US and global PMIs suggested. Generating strong operating profit growth remains difficult given: 1) slow loan growth at Banks, 2) moderate capex growth� (Industrials healthy, Tech still slow), and 3) intense competition at most Consumer industries.

    Concerns about the political uncertainty in Ukraine caused some volatility in the markets Friday afternoon, with the major indexes making several U-turns ahead of the weekend. The Dow Jones industrial average (^DJI), which had been up by as much as 125 points, briefly dropped into loss territory before rebounding to end 49 points higher. HollyFrontier Corporation (HollyFrontier), formerly Holly Corporation, incorporated in 1947, is a petroleum refiner, which produces light products, such as gasoline, diesel fuel, jet fuel, specialty lubricant products, and specialty and modified asphalt. HollyFrontier operates in two segments: Refining and Holly Energy Partners, L.P. (HEP). The Refining segment includes the operations of its El Dorado, Tulsa, Navajo, Cheyenne and Woods Cross Refineries and NK Asphalt. The HEP segment involves all of the operations of HEP. The Company merged with Frontier Oil Corporation (Frontier), on July 1, 2011. On November 9, 2011, HEP acquired from the Company certain tankage, loading rack and crude receiving assets located at its El Dorado and Cheyenne Refineries.

Refinery Operations

The Company��s refinery operations serve the Mid-Continent, Southwest and Rocky Mountain regions of the United States. HollyFrontier owned and operated five refineries having an aggregate crude capacity of 443,000 barrels per day, as of December 31, 2011. During the year ended December 31, 2011, gasoline, diesel fuel, jet fuel and specialty lubricants represented 48%, 32%, 5% and 3%, respectively of its total refinery sales volumes. Its refineries are located in El Dorado, Kansas, (the El Dorado Refinery), Tulsa, Oklahoma (the Tulsa Refineries), which consists two production facilities, the Tulsa West and East facilities, a petroleum refinery in Artesia, New Mexico, which operates in conjunction with crude, vacuum distillation and other facilities situated 65 miles away in Lovington, New Mexico (the Navajo Refinery), Cheyenne, Wyoming (the Cheyenne Refinery) and Woods Cross, Utah (the Woods Cross Refinery). Light products are shipped by product pipelines or are made available at various points by exchanges with other parties and are made available to customers through truck loading facilities at the refinery and at terminals.

The Company��s principal customers for gasoline include other refin! ers, convenience store chains, independent marketers, and retailers. Diesel fuel is sold to other refiners, truck stop chains, wholesalers, and railroads. Jet fuel is sold for military and commercial airline use. Specialty lubricant products are sold in both commercial and specialty markets. LPG��s are sold to LPG wholesalers and LPG retailers. HollyFrontier produces and purchases asphalt products that are sold to governmental entities, paving contractors or manufacturers. Asphalt is also blended into fuel oil and is either sold locally or is shipped to the Gulf Coast. Tulsa West facility is 85,000 barrels per stream day refinery in Tulsa, Oklahoma. It owns Tulsa East facility is 75,000 barrels per stream day refinery that is also located in Tulsa, Oklahoma. In September 2011, HEP completed the Tulsa interconnecting pipeline project which facilitated a combined crude processing rate of 125,000 barrels per stream day. The El Dorado Refinery is a coking refinery.

The El Dorado Refinery is located on 1,100 acres south of El Dorado, Kansas and is a refinery. The principal process units at the El Dorado Refinery consists of crude and vacuum distillation; hydrodesulfurization of naphtha, kerosene, diesel, and gas oil streams; isomerization; catalytic reforming; aromatics recovery; catalytic cracking; alkylation; delayed coking; hydrogen production, and sulfur recovery. Supporting infrastructure includes maintenance shops, warehouses, office buildings, a laboratory, utility facilities, and a wastewater plant (Supporting Infrastructure) and logistics assets owned by HEP, which includes approximately 3.7 million barrels of tankage, a truck sales terminal, and a propane terminal. The facility processes approximately 135,000 barrels per stream day of crude oil with the capability. The Tulsa West facility is located on a 750-acre site in Tulsa, Oklahoma situated along the Arkansas River. The principal process units at the Tulsa West facility consists of crude distillation (with light ends recovery), n! aphtha hy! drodesulfurization, catalytic reforming, propane de-asphalting, lubes extraction, methyl ethyl ketone (MEK) dewaxing, delayed coker and butane splitter units.

Tulsa West facility��s Supporting Infrastructure includes approximately 3.2 million barrels of feedstock and product tankage, of which 0.4 million barrels of tankage is owned by Plains All American Pipeline, L.P. (Plains), and an additional 1.2 million barrels of tank capacity was out of service, as of December 31, 2011. The Tulsa East facility is located on a 466-acre site also in Tulsa, Oklahoma situated along the Arkansas River. The principal process units at the Tulsa East facility consists of crude distillation, naphtha hydrodesulfurization, fluid catalytic cracking (FCC), isomerization, catalytic reforming, alkylation, scanfiner, diesel hydrodesulfurization and sulfur units. The Tulsa East facility��s Supporting Infrastructure includes approximately 3.75 million barrels of tankage capacity on the refinery��s premises, of which approximately 3.4 million barrels of tankage is owned by HEP. The primary markets for the El Dorado Refinery��s refined products are Colorado and the Plains States, which include the Kansas City metropolitan area.

The gasoline, diesel and jet fuel produced by the El Dorado Refinery are primarily shipped via pipeline to terminals for distribution by truck or rail. The Company ships product via the NuStar Pipeline Operating Partnership L.P. Pipeline to the northern Plains States, via the Magellan Pipeline Company, L.P. (Magellan) mountain pipeline to Denver, Colorado, and on the Magellan mid-continent pipeline to the Plains States. The Tulsa Refineries�� principal customers for conventional gasoline include Sinclair Oil Company (Sinclair), other refiners, convenience store chains, independent marketers and retailers. Sinclair and railroads are the primary diesel customers. Jet fuel is sold primarily for commercial use. The refinery��s asphalt and roofing flux products are sold via truck or! railcar ! directly from the refineries or to customers throughout the Mid-Continent region primarily to paving contractors and manufacturers of roofing products. HollyFrontier��s Tulsa West facility also produces specialty lubricant products sold in both commercial and specialty markets throughout the United States and to customers with operations in Central America and South America.

The El Dorado Refinery is located about 125 miles, and the Tulsa Refineries are located approximately 50 miles from Cushing, Oklahoma, a crude oil pipeline trading and storage hub. Both its Mid-Continent Refineries are connected via pipeline to Cushing, Oklahoma. In addition, the Company has a transportation services agreement to transport up to 38,000 barrels per calendar day of crude oil on the Spearhead Pipeline from Flanagan, Illinois to Cushing, Oklahoma, enabling it to transport Canadian crude oil to Cushing for subsequent shipment to either of the Company��s Mid-Continent Refineries or to its Navajo Refinery. The Navajo Refinery has a crude oil capacity of 100,000 barrels per stream day.The Navajo Refinery��s Artesia, New Mexico facility is located on a 561-acre site and is a refinery with crude distillation, vacuum distillation, FCC, residuum oil supercritical extraction, (ROSE) (solvent deasphalter), hydrofluoric (HF) alkylation, catalytic reforming, hydrodesulfurization, mild hydrocracking, isomerization, sulfur recovery and product blending units. Supporting Infrastructure includes approximately 2 million barrels of feedstock and product tankage, of which 0.2 million barrels of tankage are owned by HEP.

The Artesia facility is operated in conjunction with a refining facility located in Lovington, New Mexico, approximately 65 miles east of Artesia. The principal equipment at the Lovington facility consists of a crude distillation unit and associated vacuum distillation units. Supporting Infrastructure includes 1.1 million barrels of feedstock and product tankage, of which 0.2 million barrels of! tankage ! are owned by HEP. The Lovington facility processes crude oil into intermediate products that are transported to Artesia by means of three intermediate pipelines owned by HEP. The Navajo Refinery primarily serves the southwestern United States market. The Navajo Refinery primarily serves the southwestern United States market. The Company��s products are shipped through HEP��s pipelines from Artesia, New Mexico to El Paso, Texas and from El Paso to Albuquerque and to Mexico via products pipeline systems owned by Plains and from El Paso to Tucson and Phoenix via a products pipeline system owned by Kinder Morgan��s subsidiary, SFPP, L.P. (SFPP). In addition, the Navajo Refinery transports petroleum products to markets in northwest New Mexico and to Moriarty, New Mexico, near Albuquerque, via HEP��s pipelines running from Artesia to San Juan County, New Mexico.

HollyFrontier has refined product storage through its pipelines and terminals agreement with HEP at terminals in El Paso, Texas; Tucson, Arizona; and Artesia, Moriarty and Bloomfield, New Mexico. The Company uses a common carrier pipeline out of El Paso to serve the Albuquerque market. In addition, HEP leases from Mid-America Pipeline Company, L.L.C., a pipeline between White Lakes, New Mexico and the Albuquerque vicinity and Bloomfield, New Mexico. HEP owns and operates a 12-inch pipeline from the Navajo Refinery to the leased pipeline, as well as terminalling facilities in Bloomfield, New Mexico, which is located in the northwest corner of New Mexico, and in Moriarty, which is 40 miles east of Albuquerque. The Navajo Refinery is situated near the Permian Basin. The Company purchases crude oil from independent producers in southeastern New Mexico and west Texas, as well as from oil companies.

HollyFrontier also purchases volumes of isobutane, natural gasoline and other feedstocks to supply the Navajo Refinery from sources in Texas and the Mid-Continent area that are delivered to its region on a common carrier pipeline ! owned by ! Enterprise Products, L.P. The Cheyenne Refinery has a crude oil capacity of 52,000 barrels per stream day and the Woods Cross Refinery has a crude oil capacity of 31,000 barrels per stream day. The Cheyenne Refinery processes Canadian crudes, as well as local sweet crudes, such as that produced from the Bakken shale and similar resources. The Woods Cross Refinery processes regional sweet and black wax crude, as well as Canadian sour crude oils into light products. The Cheyenne Refinery facility is located on a 255- acre site and is a refinery with crude distillation, vacuum distillation, coking, FCCU, HF alkylation, catalytic reforming, hydrodesulfurization of naphtha and distillates, butane isomerization, hydrogen production, sulfur recovery and product blending units. Supporting Infrastructure includes approximately 1.6 million barrels of feedstock and product tankage, of which 1.5 million barrels of tankage are owned by HEP.

The Woods Cross Refinery facility is located on a 200-acre site and is a fully integrated refinery with crude distillation, solvent deasphalter, FCC, HF alkylation, catalytic reforming, hydrodesulfurization, isomerization, sulfur recovery and product blending units. Supporting Infrastructure includes approximately 1.5 million barrels of feedstock and product tankage, of which 0.2 million barrels of tankage are owned by HEP. The facility processes or blends an additional 2,000 barrels per stream day of natural gasoline, butane and gas oil over its 31,000 barrels per stream day capacity. The Company owns and operates four miles of hydrogen pipeline that connects the Woods Cross Refinery to a hydrogen plant located at Chevron��s Salt Lake City Refinery. The Cheyenne Refinery primarily markets its products in eastern Colorado, including metropolitan Denver, eastern Wyoming and western Nebraska. Crude oil is transported to the Cheyenne Refinery from suppliers in Canada, Nebraska, North Dakota and Montana via common carrier pipelines owned by Kinder Morgan, Plains All Am! erican Pi! peline and Suncor Energy, as well as by truck.

The Woods Cross Refinery obtains its supply of crude oil from suppliers in Canada, Wyoming, Utah and Colorado as delivered via common carrier pipelines that originate in Canada, Wyoming and Colorado. HollyFrontier manufactures and markets commodity and modified asphalt products in Arizona, New Mexico, Oklahoma, Kansas, Missouri, Texas and northern Mexico. The Company has three manufacturing facilities located in Glendale, Arizona; Albuquerque, New Mexico; and Artesia, New Mexico. The Company's Albuquerque and Artesia facilities manufacture modified hot asphalt products and commodity emulsions from base asphalt materials provided by its refineries and third-party suppliers. The Company��s Glendale facility manufactures modified hot asphalt products from base asphalt materials provided by its refineries and third-party suppliers. HollyFrontier��s products are shipped via third-party trucking companies to commercial customers that provide asphalt based materials for commercial and government projects.

The Company owns Ethanol Management Company, is 25,000 barrels per calendar day products terminal and blending facility located near Denver, Colorado. It also owns a 50% joint venture interest in Sabine Biofuels II, LLC, a 30 million gallon per year biodiesel production facility located near Port Arthur, Texas. The Company owns a 75% joint venture interest in the UNEV Pipeline, a 400 mile 12-inch refined products pipeline from Salt Lake City, Utah to Las Vegas, Nevada, together with terminal and ethanol blending facilities in the Cedar City, Utah and North Las Vegas areas and storage facilities at the Cedar City terminal with Sinclair, its joint venture partner, owning the remaining 25% interest. The pipeline has a capacity of 62,000 barrels per calendar day (based on gasoline equivalents). The pipeline was mechanically completed in November 2011.

As of December 31, 2011, the Compa! ny owned ! a 42% interest in HEP, including the 2% general partner interest. HEP owns and operates logistic assets consisting of petroleum product and crude oil pipelines and terminal, tankage and loading rack facilities in the Mid-Continent, Southwest and Rocky Mountain regions of the United States. Revenues are generated by charging tariffs for transporting petroleum products and crude oil through its pipelines and by charging fees for terminalling petroleum products and other hydrocarbons, and storing and providing other services at its storage tanks and terminals.     From a technical perspective, BODY trended higher here right above some near-term support at $3.21 with above-average volume. This move pushed shares of BODY into breakout territory, since the stock took out some near-term overhead resistance at $3.50. This move is also coming off oversold territory, since BODY's current relative strength index reading is 29.89. Oversold can always get more oversold, but it's also an area where a stock can experience a powerful bounce from.

     

    Traders should now look for long-biased trades in BODY as long as it's trending above some key near-term support levels at $3.21 or at $3.09 and then once it sustains a move or close above Tuesday's high of $3.55 with volume that hits near or above 421,188 shares. If we get that move soon, then BODY will set up to re-test or possibly take out its next major overhead resistance levels at $4 to $4.50.

The improvement came during what could have been a difficult month for the U.S. economy, with a partial government shutdown that lasted 16 days and a narrowly averted default on the U.S. government's debt, which could have rattled financial markets. "With what happened in the last two months, it's amazing how strong this market has been," said Bob Doll, chief equity strategist at Nuveen Asset Management. The Institute for Supply Management reported that its manufacturing index increased to 56.4, the highest level since April 2011. That was better than the 55.1 figure economists were expecting, according financial data provider FactSet. The Dow Jones industrial average (^DJI) rose 69.80 points, or 0.5 percent, to 15,615.55. The Standard & Poor's 500 index (^GPSC) rose 5.10 points, or 0.3 percent, to 1,761.64. The Nasdaq composite (^IXIC) rose 2.34 points, or 0! .1 percen! t, to 3,922.04. Energy stocks lagged the market after Chevron (CVX) reported that its third-quarter income fell 6 percent, missing analysts' estimates, due to weakness in the company's oil refining business. Chevron fell $1.95, or 1.6 percent, to $118.01. The energy sector was also weighed down by a drop in the price of oil. Crude oil fell $1.77, or 1.8 percent, to $94.61 a barrel. The positive start to this month's trading comes after a strong October for the stock market. The S&P 500 closed at a record high seven times during the month, most recently on Tuesday. It ended October with a gain of 4.5 percent. However, some investors have expressed skepticism that stocks can keep up this rapid pace pace heading into the last two months of the year. Opening Print and S&P Levels to Watch

It's OK to say you are unsure what's going to happen next. A few weeks ago 90% of everyone we spoke to called for lower prices. The most recent rally is another prime example of when the bus gets too full.

That said, most of the shorts have covered and most people we talk to think the S&P still has more room on the upside. According to the Ned Davis S&P cash study, the Friday before the Sept expiration has been up 19 and down 9 of the last 28 occasions and Monday has been up 16 and down 13 of the last 29. With that in mind, we lean to selling rallies today. We may look to buy weakness, but with the S&P up 6 days in a row the market is overdue for a down day.

    CYNK Technology (CYNK), the mysterious over-the-counter stock that at one point broke a $6 billion market cap, dropped roughly 80 percent in its first trades after a Securities and Exchange Commission halt. The SEC halted CYNK for two weeks following a massive rise in the stock's value -- it had been worth only a few cents per share in June, but it jumped above $21 on July 10. The Belize-based CYNK Technology supposedly operates a social networking site, but filings indicate it only has one employee and virtually no assets. Experts told CNBC the week of the SEC halt that they expected CYNK to fall precipitously after reopening, and its first day of trading is proving those predictions correct. When it was halted, the stock was worth just less than $14 per share, and is now below $3 a share after briefly hovering around $5 earlier Friday morning. An OTC Markets spokeswoman told Reuters that CYNK's shares were not trading on its platform, but were occurring over the phone. Earlier this week Reuters reported that OTC's CEO did not expect CYNK to trade on its platform at all after reopening, as no brokerages would file the required paperwork for the stock to trade on their exchanges. An SEC spokesman said that the organization cannot comment on the status of a company after a suspension period ends, citing an online explanation of the ! process. That document notes that broker-dealers may not solicit investors to trade the previously suspended OTC stock until they satisfy several regulatory requirements. The SEC warned, however, that "unsolicited" trading may occur after a reopening -- as CYNK is now seeing -- but "even though such trading is allowed, it can be very risky for investors without current and reliable information about the company."

The third largest U.S. homebuilder by revenue reported exceptional Q3 results, as its earnings more than quadrupled, primarily as a result of an increase in new-home demand. The reported net income of 40c was well ahead of last year's 11c, and the forecasted 28c.

According to the company's CEO, Stuart Miller, "The homebuilding business is beginning to revert to normal, and that's a positive for the U.S. economy in general, which is in turn good for sustained recovery in the housing market. Overall demand has been improving and we've seen a consistent sales pa! ce at improving prices."

LEN's contract backlog, which is an indicator of future sales, rose by a whopping 79% on a YoY basis. Its average selling price of delivered homes also increased to $258,000 from last year's $247,000.

    Another potential earnings short-squeeze play is homebuilding player Lennar (LEN), which is set to release its numbers on Wednesday before the market open. Wall Street analysts, on average, expect Lennar to report revenue $1.96 billion on earnings of 67 cents per share.

     

    The current short interest as a percentage of the float for Lennar is very high at 14.3%. That means that out of t! he 178.16! million shares in the tradable float, 25.50 million shares are sold short by the bears. If this company can produce the results the bulls are looking for, then shares of LEN could easily explode sharply higher post-earnings as the bears rush to cover some of their trades.

     

    From a technical perspective, LEN is currently trending above both its 50-day and 200-day moving averages, which is bullish. This stock has been uptrending for the last month and change, with shares moving higher from its low of $35.74 to its recent high of $39.68 a share. During that uptrend, shares of LEN have been making mostly higher lows and higher highs, which is bullish technical price action. That move has now pushed shares of LEN within range of triggering a near-term breakout trade post-earnings.

     

    If you're in the bull camp on LEN, then I would wait until after its report and look for long-biased trades if this stock manages to break out above some near-term overhead resistance levels at $39.68 to $41 a share with high volume. Look for volume on that move that hits near or above its three-month average volume of 2.82 million shares. If that breakout kicks off post-earnings, then LEN will set up to re-test or possibly take out its next major overhead resistance levels at $42.63 to its 52-week high at $44.40 a share. Any high-volume move above those levels will then give LEN a chance to tag or trend north of $50 a share.

Tesla's challenge is not demand, but rather production capacity issues, which account for the postponement in delivery time. Cash fell to $2.4 billion from $2.7 billion at the end of the second quarter, due to capital expenditures and the operating losses noted above, while expenses for Research and Development rose 28 percent in the third quarter. Takeshi Fujimaki, a former adviser to billionaire George Soros and now a member of Japan's upper house of parliament, said a fiscal crisis in Asia's second- biggest economy is inevitable and neither a higher sales tax nor the 2020 Olympics will be able to stop it.

“I decided to become a politician because I think financial crisis will come sooner or later,” Fujimaki said in a Sept. 24 interview in Tokyo. “This total debt will continue to increase. I don't think Japan can survive until 2020.”

Yields on 10-year Japanese government bonds may jump to 70% based on what happened in Russia when it defaulted in 1998, Fujimaki said. The benchmark yield is now the lowest in the world at 0.68% and the cost to protect the sovereign debt from default is near a four-month low at 62 basis points.

Petroleum Business

The Company operates a 115,000 barrels per day complex full coking medium-sour crude oil refinery in Coffeyville, Kansas and, as of December 15, 2011, a 70,000 barrels per day crude oil unit refinery in Wynnewood, Oklahoma. Its combined production capacity represents approximately 15% of its region's output during the year ended December 31, 2011. The Coffeyville facility is situated on approximately 440 acres in southeast Kansas, approximately 100 miles from Cushing, Oklahoma, a crude oil trading and storage hub. The Wynnewood facility is situated on approximately 400 acres located approximately 65 miles south of Oklahoma City, Oklahoma and approximately 130 miles from Cushing, Oklahoma. During 2011, its Coffeyville refinery's product yield included gasoline (mainly regular unleaded) (44%), diesel fuel (42%), and pet coke and other refined products, such as natural gas liquids (NGL) (propane and butane), slurry, sulfur and gas oil (14%). Its Wynnewood refinery's product yield included gasoline (54%), diesel fuel (31%), asphalt (6%), jet fuel (3%) and other products (6%) during 2011.

The Company! owns and operates a crude oil gathering system serving Kansas, Oklahoma, western Missouri and southwestern Nebraska. The system has field offices in Bartlesville, Oklahoma, Plainville, Kansas and Winfield, Kansas. The system consists of approximately 350 miles of feeder and trunk pipelines, 100 trucks, and associated storage facilities for gathering sweet crude oils purchased from independent crude oil producers in Kansas, Nebraska, Oklahoma and Missouri. It also leases a section of a pipeline from Magellan Midstream Partners, L.P. (Magellan), which is incorporated into its crude oil gathering system. During 2011, the Company�� crude oil gathering system had a gathering capacity of approximately 38,000 barrels per day. During 2011, it gathered an average of approximately 35,000 barrels per day.

CVR Energy owns a pipeline system capable of transporting approximately 145,000 barrels per day of crude oil from Caney, Kansas to its refinery. Crude oils sourced outside of its gathering system are delivered by common carrier pipelines into various terminals in Cushing, Oklahoma, where they are blended and then delivered to Caney, Kansas via a pipeline owned by Plains Pipeline L.P. (Plains). The Company also owns associated crude oil storage tanks with a capacity of approximately 1.2 million barrels located outside its Coffeyville refinery, 0.5 million barrels of crude oil storage at Wynnewood, Oklahoma, and lease an additional 3.3 million barrels of storage capacity located at Cushing, Oklahoma and other locations. In addition to crude oil storage, it owns approximately 4.5 million barrels of combined refinery related storage capacity.

CVR Energy has access to foreign crude oil from Latin America, South America, West Africa, the Middle East, the North Sea and Canada. It purchases domestic crude oil from Kansas, Oklahoma, Nebraska, Texas, North Dakota, Missouri, and offshore deepwater Gulf of Mexico production. During 2011, its Coffeyville crude oil supply blend consisted of approx! imately 8! 0% light sweet crude oil, 2% light/medium sour crude oil and 18% heavy sour crude oil. During 2011, Wynnewood's crude oil supply blend consisted of approximately 88% sweet crude oil and 12% light/medium sour crude oil.

During 2011, approximately 35% of the Coffeyville refinery's products were sold through the rack system directly to retail and wholesale customers, while the remaining 65% was sold through pipelines via bulk spot and term contracts. The Company makes bulk sales (sales into third party pipelines) into the mid-continent markets via Magellan and into Colorado and other destinations utilizing the product pipeline networks owned by Magellan, Enterprise Products Operating, L.P. (Enterprise) and NuStar Energy, LP (NuStar). Approximately 60% of the Wynnewood refinery's finished products sold are distributed in Oklahoma. Customers for its petroleum products include other refiners, convenience store companies, railroads and farm cooperatives.

The Company competes with BP, Conoco Phillips, HollyFrontier, NCRA, Valero, Flint Hills Resources, CHS and Shell.

Nitrogen Fertilizer Business

The nitrogen fertilizer business, operated by the Partnership, is the nitrogen fertilizer plant in North America. It utilizes a pet coke gasification process to produce nitrogen fertilizer. The nitrogen fertilizer facility's primary input is pet coke. The nitrogen fertilizer facility includes a 1,225 ton-per-day ammonia unit, a 2,025 ton-per-day UAN unit and a gasifier complex having a capacity of 84 million standard cubic feet per day. Linde LLC (Linde) owns, operates, and maintains the air separation plant that provides contract volumes of oxygen, nitrogen and compressed dry air to the gasifier for a monthly fee.

The primary geographic markets for the nitrogen fertilizer business' fertilizer products are Kansas, Missouri, Nebraska, Iowa, Illinois, Colorado and Texas. The nitrogen fertilizer business markets the ammonia products to industrial and agricu! ltural cu! stomers and the UAN products to agricultural customers. The nitrogen fertilizer business sells ammonia to agricultural and industrial customers. Agricultural customers include distributors such as MFA, United Suppliers, Inc., Brandt Consolidated Inc., Gavilon Fertilizer LLC, Transammonia, Inc., Agri Services of Brunswick, LLC, Interchem and CHS Inc. Industrial customers include Tessenderlo Kerley, Inc., National Cooperative Refinery Association, and Dyno Nobel, Inc. The nitrogen fertilizer business sells UAN products to retailers and distributors.

    On the morning of September 15, TRW Automotive Holdings (TRW) announced it was going to be acquired by ZF Friedrichshafen for $105.60 per share. This was of more than a passing interest to us because at the time TRW was the largest holding in Oakmark Select. It was also the culmination of a process we applauded because TRW stock began 2012 at $33 per share, and was only up to $74 at the end of 2013. Over the years, takeovers have contributed significantly to Oakmark and Oakmark Select�� returns. In 2014 both Funds benefited when AT&T offered to buy DirecTV and when Actavis purchased Forest Laboratories. Additionally, Oakmark Fund owned Covidien, which increased from $72 to $92 after announcing its merger with Medtronic. Obviously, we welcome takeover activity in any of our holdings.But when TRW announced news of the acquisition at 8:16 a.m. Chicago time, it took less than an hour ��9:04 to be exact ��for the first law firm to announce its threat to sue TRW for accepting too low a price. Within 10 days I had counted at least 27 similar press releases from various law firms purporting to represent shareholders, threatening legal action to block the takeover. How do you square the law firms all jumping in to protect the shareholders while as a large shareholder ourselves, we were cheering the news?Merger objection lawsuits aren�� unique to the TRW deal. In fact, each of the takeovers we were invested in had multiple law firms trying to block the deals, alleging that shareholders weren�� getting paid a high enough price. And it isn�� just those takeovers. Within minutes of almost any takeover announcement, many law firms race to file press releases. Ten years ago, less than 10% of announced acquisitions of public companies were followed by merger objection suits. Today, almost every deal produces multiple suits.     Like much of the mutual fund industry, our Oakmark Funds had higher than normal capital gains distributions in 2014. Going into year six of the market advance, there just weren�� many losses left to offset the gains realized on stocks we sold. The Oakmark Select Fund, with a distribution of 12% of its value, unfortunately made some lists of tax-unfriendly funds due to its double-digit distribution. Oakmark Select�� 2014 performance benefited from three mergers: DirecTV (DTV) being acquired by AT&T (T), Forest Laboratories (FRX) by Actavis (ACT) and TRW Automotive Holdings (TRW) by ZF Friedrichshafen. A year ago those three acquirees accounted for 18% of the Oakmark Select portfolio, and their sales accounted for the majority of our gains. Unless we wanted to hold stock in the acquiring companies, there simply wasn�� a good way to avoid recognizing those taxable gains. But given the disconnect between our large distributions this year and our claims to be a tax-sensitive fund family, an explanation might be helpful.
